The Streaming Giant Becomes Frontrunner in Major Hollywood Studio Streaming and Studio Acquisition Bid

Exclusive negotiations have commenced between Warner Bros Discovery and Netflix for a blockbuster acquisition of its core studio and streaming operations, a development that could profoundly reshape the entertainment industry landscape.

An Intense Competition

Netflix is said to be competing against other major players like Paramount Skydance and the cable giant, the owner of significant media properties, for ownership of the legendary Hollywood institution, the prestigious HBO network, and the HBO Max streaming platform.

Sources indicate Netflix has proposed a hefty breakup fee of £3.7 billion should the deal not obtain antitrust approval in the US.

The Offer Details

As the company's stock currently trading at approximately $24 per share, its total market valuation stands at roughly $60 billion. It is believed Netflix's offer is between $28 to $30 per share, which suggests a total bid value in the neighborhood of $70bn to $75bn.

Industry experts have warned that such a merger could raise significant antitrust concerns, as it would unite two of the largest subscription platforms in the United States.

Assurances and Strategic Moves

As part of its bid, the streamer has provided assurances that the Warner Bros film studio, behind major franchises like Harry Potter and Batman, would retain wide theatrical releases.

Before a final agreement, Warner Bros Discovery is planning to finalize a pre-arranged separation of its linear TV networks, which include TNT, TBS, and CNN.

A Content Powerhouse

Should the deal proceed, the buyer would gain ownership of HBO, the maker of award-winning shows including Succession, The White Lotus, The Sopranos, and Game of Thrones, plus an vast archive of classic television.

Warner Bros formally initiated its sale process in October after attracting overtures by several interested parties.

Industry Concerns

This prospective deal has not been without controversy. Esteemed director James Cameron, director of the Avatar and Terminator franchises, stated this week that a sale to Netflix could lead to a "significant erosion of enduring worth" for the creative sector.

Initially, Paramount was viewed as the leading candidate. It had also offered a $5bn termination fee if approval issues.

Claims Regarding an Unfair Process

Recently, the rival bidder contended formally that its bid was the one most poised to secure regulatory clearance. Additionally, the company accused the seller of running an "unfair auction process" that unduly benefited Netflix, calling it "tainted" in official documents.

Officials from all companies involved have declined to comment on the ongoing negotiations.
